Gerulaičio g. 4-34, LT-45391 Kaunas Email: • [info@luxrepetitor.ai](mailto:info@luxrepetitor.ai) Tel.: +370 671 50758 Platform: LuxRepetitor Website: luxrepetitor.ai This AI Tutor Licence and Digital Services Agreement (hereinafter referred to as the Agreement) sets out the terms and conditions for the use of the AI Tutor between MB “Luxagente” (hereinafter referred to as Luxagente or the Platform) and the user of the Platform (hereinafter referred to as the User). Before purchasing a paid plan or starting to use the AI Tutor, the User is given the opportunity to review this Agreement. By completing the electronic confirmation provided on the Platform, the User confirms that they have read and understood the Agreement and agree to be bound by its terms.
1. General Provisions
1.1. LuxRepetitor is an educational technology platform operated by MB “Luxagente”, providing the AI Tutor digital learning service and other technological learning solutions.
1.2. This Agreement governs the use of the AI Tutor and the Platform’s digital functions related to it.
1.3. The booking and provision of individual lessons with independent Teachers are subject to separate Student / Parent / Guardian Platform Use Rules and other documents applicable to the relevant service.
1.4. The AI Tutor is a digital learning service based on artificial intelligence.
1.5. The User is granted a limited, non-exclusive and non-transferable right to use the AI Tutor in accordance with the terms and duration of the selected plan.
1.6. The User is not granted any ownership or intellectual property rights in the Platform, its software code, technologies, algorithms, databases, design, trademarks or other content belonging to Luxagente.
2. Purpose of the AI Tutor
2.1. The AI Tutor is intended to help Users learn, understand learning materials, deepen their knowledge and independently complete learning tasks.
2.2. Depending on the functionality of the specific AI Tutor, it may be used for:
explaining learning materials;
analysing tasks and explaining the steps involved in solving them;
analysing homework;
preparing for assessments and examinations;
creating tests and practical exercises;
creating individual learning plans;
assessing learning progress;
providing learning recommendations;
answering User questions;
other learning functions offered on the Platform.
2.3. The specific capabilities of the AI Tutor may depend on the selected plan, subject and the functions available on the Platform at that time.
3. Grant of Licence
3.1. The User is granted the right to use the AI Tutor for personal, non-commercial learning purposes.
3.2. The licence is valid for the duration of the selected paid, free or other plan provided on the Platform.
3.3. The licence and the User’s account may not be sold, rented or otherwise transferred to third parties, except in cases of use expressly permitted on the Platform.
3.4. Luxagente has the right to restrict access to the AI Tutor if the User materially breaches this Agreement, the security of the Platform or applicable laws.
4. Plans, Subscription and Payments
4.1. The AI Tutor may be used under:
a paid subscription plan;
a paid plan of another duration;
a free trial plan, if such a plan is offered at that time;
another usage model specified on the Platform.
4.2. The Platform may offer plans of different durations, including 1-month and 4-month plans.
4.3. The price, validity period, number of credits, features and other principal terms of a specific plan are presented to the User on the Platform before payment is made.
4.4. Payments are made through payment service providers integrated into the Platform or selected by MB “Luxagente”.
4.5. The subscription renewal procedure depends on the payment method selected. Payment by bank card
4.6. If the User chooses to pay by bank card and automatic renewal applies to the specific plan, the User is clearly informed of this before the purchase.
4.7. Once the User has expressly agreed to automatic renewal, at the end of the current period the subscription is automatically renewed for the next corresponding period, and the fee is charged using the payment method selected by the User.
4.8. The User may disable automatic subscription renewal in their account before the next payment is initiated.
4.9. Disabling automatic renewal does not terminate the period already paid for. The User may continue to use the selected plan until the end of its validity period. Payment via Bank Link
4.10. When paying via Bank Link (electronic banking), the subscription is not automatically renewed.
4.11. At the end of the paid period, in order to continue using the paid AI Tutor functions, the User must purchase a new plan themselves.
4.12. A new purchase is subject to the prices and terms specified on the Platform at that time.
5. Credits
5.1. Depending on the selected plan, the User’s account may be allocated the number of credits specified on the Platform.
5.2. Credits are used for the AI Tutor and other functions specified on the Platform in accordance with the credit usage rules applicable at that time.
5.3. If the subscription is renewed without interruption, unused credits remain in the User’s account and are carried over to the next subscription period.
5.4. After the subscription expires, unused credits are retained for a further 7 calendar days.
5.5. If the User renews the subscription within 7 calendar days after the subscription expires, the unused credits remain in the User’s account.
5.6. If the subscription is renewed more than 7 calendar days after its expiry, the previously unused credits are cancelled and are not restored.
5.7. Unless expressly stated otherwise on the Platform, this rule applies both to credits granted under a plan and to credits purchased additionally or obtained in other ways.
5.8. Credits are not money, electronic money or a means of payment and cannot be exchanged for money, except in cases provided for by law.
6. Free Trial Period
6.1. The Platform may provide the User with a free trial period for using the AI Tutor.
6.2. The duration of the free trial, the number of credits and the available functions are specified on the Platform.
6.3. The functionality available during the free trial period may be limited compared with paid plans.
6.4. At the end of the free trial period, a paid plan is activated only in accordance with the terms clearly presented to the User in advance.
7. Right of Withdrawal and Refunds
7.1. If the User is a consumer, the rights to withdraw from a distance contract provided for under the laws of the Republic of Lithuania apply in the cases, within the time limits and subject to the conditions in which such right applies.
7.2. Before purchase, the User is informed that the provision of the AI Tutor digital service may begin immediately after successful payment.
7.3. If the User wishes to start using the service before the expiry of the period for exercising the right of withdrawal, the User is asked to provide the relevant express request and, where required by law, consent and confirmation.
7.4. Before purchase, the User is informed of the circumstances in which, due to the commencement of the provision of the digital service or digital content, the right of withdrawal may be restricted or lost under applicable law.
7.5. Where, under applicable law, the application of an exception to the right of withdrawal requires the User’s prior express consent and confirmation that they understand the consequences of losing the right of withdrawal, such exception shall apply only after these confirmations have been properly obtained.
7.6. The procedure for refunds, incorrect or duplicate payments and other matters relating to payments is set out in the LuxRepetitor Purchase, Service Provision and Refund Terms.
7.7. This Agreement does not restrict any consumer rights that cannot be restricted or excluded by agreement under applicable law.
8. Operation of the AI Tutor
8.1. The AI Tutor generates responses using artificial intelligence technologies.
8.2. Responses are generated automatically and, depending on the specific function, may be based on:
learning materials used by the Platform;
licensed or lawfully used content;
information provided by the User;
other information sources lawfully used for the operation of the AI Tutor.
8.3. The Platform may periodically update and improve the functionality of the AI Tutor in order to improve service quality, security and the User experience.
8.4. If the AI Tutor does not have sufficiently reliable information to answer a specific question, it may inform the User that it does not have data on that matter or cannot provide a reliable answer.
9. Nature of AI Responses and Error Reporting
9.1. The AI Tutor aims to provide responses that are as accurate and useful as possible; however, due to the nature of artificial intelligence technologies, responses may contain errors, inaccuracies or incomplete information.
9.2. The User understands that the AI Tutor may:
incorrectly interpret a question;
provide an inaccurate answer;
provide an incomplete explanation;
in certain cases, not have sufficiently reliable information to provide an answer.
9.3. If the User believes that the AI Tutor has provided an incorrect answer, they may use the “Report an Error” function available on the Platform.
9.4. If MB “Luxagente” confirms that the reported response did in fact contain an AI error, the User will be granted the credit bonus specified on the Platform at that time.
9.5. The amount of the credit bonus may be changed for future error reports, with information about such changes being provided on the Platform.
9.6. An error identified in an AI response does not, by itself, mean that the User’s entire purchased plan is deemed not to have been provided or that the full amount paid for the plan is automatically refunded. This provision does not restrict the consumer rights established by applicable law.
9.7. The AI Tutor is a learning support tool. The User must critically evaluate the information provided, particularly where it may have significant consequences.
9.8. Information provided by the AI Tutor is not intended to replace advice from a qualified professional in cases where such advice is required due to the nature of the question.
10. User Obligations
10.1. The User undertakes to:
use the AI Tutor for lawful purposes;
provide accurate information where required for the functions of the Platform;
not attempt to circumvent the Platform’s security measures;
not use the AI Tutor for unlawful activities;
keep their account login details secure;
not transfer their account to third parties, except in cases expressly permitted on the Platform;
not infringe the rights of other persons.
11. Prohibited Activities
11.1. Without Luxagente’s permission, the User is prohibited from:
systematically copying or reproducing the operation of the AI Tutor;
using Platform content to create a competing solution;
automatically collecting AI-generated content on a large scale;
using robots, scrapers or other automated tools in violation of the Platform’s rules;
reverse engineering, decompiling or otherwise attempting to reconstruct the Platform’s software code;
disrupting or attempting to disrupt the operation of the Platform;
using the AI Tutor for activities that infringe copyright, intellectual property, privacy or other rights of third parties.
12. Intellectual Property
12.1. All intellectual property rights in the LuxRepetitor Platform, its software code, design, trademarks, databases, technologies and other content created by Luxagente belong to MB “Luxagente” or the respective lawful rights holders.
12.2. The User is granted only the right to use the Platform as set out in this Agreement.
12.3. This Agreement does not transfer any Luxagente intellectual property rights to the User.
13. Service Availability and Conformity
13.1. Luxagente aims to ensure the proper and stable operation of the AI Tutor.
13.2. The operation of the Platform may be temporarily affected by:
technical disruptions;
scheduled updates;
internet connection disruptions;
disruptions to third-party services;
disruptions to the operation of AI technology providers;
force majeure circumstances.
13.3. If a paid digital service is not provided or does not conform to the agreed requirements, the User shall have the consumer rights and remedies provided for by applicable law.

14. Liability
14.1. To the extent permitted by applicable law, Luxagente shall not be liable for damage arising solely from:
improper use of the AI Tutor by the User;
disruptions to the User’s equipment or internet connection;
disruptions to third-party systems;
actions by the User that are contrary to this Agreement.
14.2. Luxagente does not guarantee any specific learning outcome, improvement in grades, passing an examination or any other specific academic result.
14.3. The limitations of liability set out in this Agreement do not apply in cases and to the extent that liability may not be limited under applicable law.
15. Personal Data
15.1. The User’s personal data is processed in accordance with the LuxRepetitor Privacy Policy.
15.2. When using the AI Tutor, depending on the functions used, the following data may be processed:
AI query data;
AI-generated responses;
conversation history;
learning history and progress;
uploaded files and other information provided by the User;
Platform usage data.
15.3. The specific purposes, legal bases, retention periods and recipients of such data are set out in the Privacy Policy.
16. Term and Termination of the Agreement
16.1. This Agreement becomes binding on the User from the moment they properly confirm their acceptance of its terms on the Platform.
16.2. The User’s right to use the paid AI Tutor functions is valid for the duration of the selected and paid plan.
16.3. Upon expiry of the subscription period, if the subscription is not automatically renewed or renewed by the User, the User’s access to paid functions expires or is restricted in accordance with the terms of the plan applicable at that time.
16.4. Termination or expiry of the Agreement does not affect provisions which, by their nature, are intended to continue to apply after the end of the Agreement, including provisions relating to intellectual property, confidentiality, liability and lawfully retained data.
17. Amendments to the Agreement and the Platform
17.1. Luxagente may update this Agreement where necessary due to:
changes in applicable law;
changes to the functionality of the Platform;
technological or security requirements;
new functions or services;
other objectively justified reasons.
17.2. The updated version of the Agreement will be published on the Platform.
17.3. If an amendment materially affects the User’s access to or use of the paid digital service, the User will be informed in accordance with the procedure established by applicable law.
17.4. Where applicable law gives the User the right to terminate the Agreement or another remedy as a result of a material change to the digital service, this Agreement does not restrict such right.
18. Final Provisions
18.1. This Agreement is governed by the laws of the Republic of Lithuania.
18.2. Disputes shall first be resolved through negotiations.
18.3. If no agreement can be reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
18.4. This Agreement applies together with:
the Purchase, Service Provision and Refund Terms;
the Privacy Policy;
the Cookie Policy;
other Platform rules applicable specifically to the service selected by the User.
18.5. If individual terms clearly presented to the User at the time of a specific purchase differ from the general provisions of this Agreement, the individual terms clearly presented at the time of purchase shall apply to that specific purchase to the extent permitted by applicable law.
